2. Membership and Subscription; Pricing
You may become a Member of the Service at no cost. As a Member, you will have the ability to participate in some, but not all, of the features and services available within the Service. Please note that the subscription policies that are disclosed to you in subscribing to the service are deemed part of this Agreement. Please see Section 11 below for a description of such policies. For purposes of this Agreement the term “Member” includes subscribers, unless where its usage indicates otherwise.
3. Terms and cancellations
This Agreement will become effective upon your acceptance of the Agreement by your use of the Site or the Services and will remain in effect in perpetuity unless terminated hereunder. Either you or Yangutu.com may terminate your account at any time, for any reason or no reason, without explanation, effective upon sending written notice to the other party. Yangutu.com reserves the right to immediately suspend or terminate your access to any of the Services, without notice, for any reason or no reason. We also reserve the right to remove your account information or data from our Services and any other records at any time at our sole discretion. In the event your access to any of the Services is suspended due to the breach of this Agreement, you agree that all fees then paid to Yangutu.com by you will be nonrefundable and all outstanding or pending payments will immediately be due. You may terminate your membership and/or subscription at any time, for any reason, by following the instructions on the “Account Settings” page in your profile, or you may
Contact Us online. In this case, your subscription will terminate at the end of the subscription term for which you have paid, and you will not receive any refund for any unused days of such subscription term.
4. Non-commercial Use by Members
The Website is for the personal activities, people meeting and use of individual Members only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become Members and should not use the Service or the Website for any purpose. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website may be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress. Use of the Website is with the permission of Yangutu.com, which may be revoked at any time, for any reason, at Yangutu.com's sole discretion.
5. Account Security
You are responsible for maintaining the confidentiality of the E-mail and password that you designate during the Registration process, and you are fully responsible for all activities that occur under your E-mail and password. You agree to immediately notify Yangutu.com of any unauthorized use of your E-mail or password or any other breach of security, and ensure that you exit from your account at the end of each session. Yangutu.com will not be liable for any loss or damage arising from your failure to comply with this provision. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
6. Your Interactions with Other Members
You are solely responsible for your interactions with other singles. You understand that Yangutu.com currently does not conduct criminal background checks on its members. Yangutu.com also does not inquire into the backgrounds of all of its members or attempt to verify the statements of its members. Yangutu.com makes no representations or warranties as to the conduct of members or their compatibility with any current or future members. Yangutu.com reserves the right to conduct any criminal background check or other screenings (such as sex offender register searches), at any time and using available public records.
In no event shall Yangutu.com be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the service, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or dating with other registered users of this service or persons you meet through this service. You agree to take reasonable precautions in all interactions with other members of the service, particularly if you decide to meet offline or in person. In addition, you agree to review

You understand that Yangutu.com makes no guarantees, either express or implied, regarding your ultimate compatibility with individuals you meet through the service. You should not provide your financial information (for example, your credit card or bank account information) to other members.
It is forbidden to share private data (e-mail addresses, telephone numbers, skype and icq logins and other messengers).
7. Content on Yangutu.com
7.1. Proprietary Rights Yangutu.com owns and retains all proprietary rights in the Website and the Service. The Website contains the copyrighted material, trademarks, and other proprietary information of Yangutu.com, and its licensors. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
7.2. Reliance on Content, Advice, Etc. Opinions, advice, statements, offers, or other information or content provided through senior chats, forums or other Services, but not directly by Yangutu.com, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. 8. Content Posted by You on Yangutu.com
You are solely responsible for the Content that you publish or display (hereinafter, “post”) on the Service, or transmit to other Members. You will not post on the Service, or transmit to other Members, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to the Company or to any other Member. If information provided to Yangutu.com, or another Member, subsequently becomes inaccurate, misleading or false, you will promptly notify Yangutu.com of such change.
You understand and agree that Yangutu.com may review and delete any content, messages, double-blind emails, photos or profiles (collectively, “Content”), in each case in whole or in part, that in the sole judgment of Yangutu.com violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Members.
By posting Content to any public area of Yangutu.com, you automatically grant, and you represent and warrant that you have the right to grant, to Yangutu.com, its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing. You further represent and warrant that public posting and use of your content by Yangutu.com will not infringe or violate the rights of any third party.
The following is a partial list of the kind of Content that is illegal or prohibited on the Website. Yangutu.com reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the membership of such violators. It includes, but is not limited to, Content that:

Your use of the Service, including but not limited to the Content you post on the Service, must be in accordance with any and all applicable laws and regulations.
You may not include in your Member profile any telephone numbers, street addresses, last names, URLs or email addresses.
You may not engage in advertising to, or solicitation of, other Members. This includes but is not limited to solicitation or advertising to buy or sell any products or services through the Service or to attend parties or other social functions or networking for commercial purposes. You may not transmit any chain letters or junk email to other Members. Although Yangutu.com cannot monitor the conduct of its Members off the Website, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, we reserve the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which we deem appropriate in our sole discretion.
All information you include in your Member profile must be accurate, current and complete.
9. Prohibited Activities
Yangutu.com reserves the right to investigate and terminate your membership if you have misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal. The following is a partial list of the type of actions that you may not engage in with respect to the Service:

10. Customer Service
Yangutu.com provides assistance and guidance through its customer care representatives. When communicating with our customer care representatives, you may not to be abusive, obscene, profane, offensive, sexist, threatening, harassing, racially offensive, or otherwise behave inappropriately. If we feel that your behavior towards any of our customer care representatives or other employees is at any time threatening or offensive, we reserve the right to immediately terminate your membership and you will not be entitled to any refund of unused subscription fees.
11. Subscriptions; Charges on Your Billing Account and Yangutu VIP
11.1. Billing and Payment Yangutu.com bills you through an online account (your “Billing Account”) for use of the Service. You agree to pay Yangutu.com all charges at the prices you agreed to for any use of the Service by you or other persons (including your agents) using your Billing Account, and you authorize Yangutu.com to charge your chosen payment provider (your “Payment Method”) for the Service. You agree to make payment using that selected Payment Method. Yangutu.com may correct any billing errors or mistakes that it makes even if it has already requested or received payment. This Section 11 includes any agreements you made with Yangutu.com on the Website when becoming a Member or subscribing to the Service. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method.
11.2. Automatic Renewal Your subscription will continue indefinitely until cancelled by you. After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period, at the price you agreed to when subscribing. You agree that your account will be subject to this automatic renewal feature. If you do not wish your account to renew automatically, or if you want to change or terminate your subscription, please log in and go to the
Payment settings page in your Account Settings. If you cancel your subscription, you may use your subscription until the end of your then-current subscription term; your subscription will not be renewed after your then-current term expires. However, you won’t be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. By subscribing, you authorize Yangutu.com to charge your Payment Method now and again at the beginning of any subsequent subscription period. You also authorize Yangutu.com to charge you for any sales or similar taxes that may be imposed on your subscription payments. Upon the renewal of your subscription, if Yangutu.com does not receive payment from your Payment Method provider, (i) you agree to pay all amounts due on your Billing Account upon demand, and/or (ii) you agree that Yangutu.com may either terminate or suspend your subscription and continue to attempt to charge your Payment Method provider until payment is received (upon receipt of payment, your account will be activated and for purposes of automatic renewal, your new subscription commitment period will begin as of the day payment was received).
11.3. Current Information You must provide current, complete and accurate information for your Billing Account. You must promptly update all information to keep your Billing Account current, complete and accurate (such as a change in billing address, card number or expiration date), and you must promptly notify Yangutu.com if your Payment Method is canceled (including if you lose your card or it is stolen), or if you become aware of a potential breach of security (such as an unauthorized disclosure or use of your name or password). Changes to such information can be made at
Account Settings on the Website. If you fail to provide Yangutu.com any of the foregoing information, you agree that you are responsible for fees accrued under your Billing Account. In addition, you authorize us to obtain updated or replacement expiration dates and card numbers for you credit or debit card as provided by your credit or debit card issuer.
11.4. Reaffirmation of Authorization Your non-termination or continued use of the Service reaffirms that Yangutu.com is authorized to charge your Payment Method. Yangutu.com may submit those charges for payment and you will be responsible for such charges. This does not waive Yangutu.com's right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially subscribed to the Service.
11.5. Yangutu VIP Yangutu.com offers you the opportunity to buy a VIP subscription. Yangutu VIP includes various benefits, such as sending unlimited messages, browsing singles anonymously, accessing to profiles in Encounters and other opportunities. Yangutu VIP can be purchased after you register, and you may subscribe to subscription plans for various lengths of time. Once you have paid for any VIP subscription, it is non-refundable.
12. Modifications to Service
Yangutu.com reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Yangutu.com shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
13. Blocking of IP Addresses
In order to protect the integrity of the Service, Yangutu.com reserves the right at any time in its sole discretion to block Members from certain IP addresses from accessing the Website.
14. Copyright Policy
You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on the Website; your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. These emails may be transactional or relationship communications relating to the Service, such as administrative notices and service announcements or changes, or emails containing commercial offers, promotions or special offers from us. 17. Disclaimers

20. U.S. Export Controls
Software from this Website (the “Software”) is further subject to United States export controls. No Software may be downloaded from the Website or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other Country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.
21. Arbitration
21.1. Arbitration of Disputes You and Yangutu.com agree that any disputes arising out of or related to the Website, the Services, this Agreement and/or any policies or practices of Yangutu.com (a “Dispute”) will be subject to FINAL AND BINDING ARBITRATION as set forth in this section, and may only be resolved through an individual arbitration governed by the Federal Arbitration Act, to the maximum extent permitted by applicable law. Notwithstanding the above, Yangutu.com is always interested in attempting to resolve any Disputes by amicable and informal means, and we encourage you to contact us before resorting to arbitration. YOU AND YANGUTU.COM AGREE THAT WE ARE EACH GIVING UP OUR RIGHT TO GO TO COURT in connection with any Dispute, and that our rights will be determined by a NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY.
21.2. No Class Actions YOU AND YANGUTU.COM ACKNOWLEDGE THAT NEITHER OF US WILL BRING OR PARTICIPATE IN ANY CLASS ACTION OR OTHER CLASS PROCEEDING IN CONNECTION WITH ANY DISPUTE WITH THE OTHER PARTY. Further, neither you nor Yangutu.com agrees to class arbitration or any arbitration where a person brings a dispute as a representative of other person(s).
21.3. Arbitration Procedure. If the parties are unable to resolve a Dispute by informal means, the arbitration of Disputes will be administered by the American Arbitration Association (AAA), a non-profit organization not affiliated with Yangutu.com, in accordance with its Commercial Arbitration Rules, and if deemed appropriate by the arbitrator, the Supplementary Procedures for Consumer-Related Disputes.
21.4. Enforcement. Any proceeding to enforce this arbitration agreement may be brought in any court of competent jurisdiction.
21.5. Limitation of Time Period to Commence a Dispute. Regardless of any statute or law to the contrary, and to the maximum extent permitted by applicable law, any Dispute must be filed within one (1) year after the date in which the incident giving rise to the Dispute occurred. Failure to file an arbitration claim as described above within the applicable limitations period constitutes a waiver of such claim and serves as complete bar to any claim based on any Dispute.
22. Indemnity by You
You agree to indemnify and hold Yangutu.com, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.
23. No Third Party Beneficiaries
You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party beneficiaries to this Agreement.
24. Other and Amendments
This Agreement contains the entire agreement between you and Yangutu.com regarding the use of the Website and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. This Agreement is subject to change by Yangutu.com at any time. If you are a non-subscribing Member at the time of any change, the revised terms will be effective upon posting on the Yangutu.com website and your use of the Service after such posting will constitute acceptance by you of the revised Agreement. If you are a subscribing Member at the time of any change, this Agreement will continue to govern your membership until such time that you renew your subscription as contemplated by Section 11. If you continue your subscription, your renewal will constitute acceptance by you of the revised Agreement. Alternatively, if you terminate your subscription at such time, your use of the Service after your termination will constitute acceptance by you of the Agreement.
25. Subscriptions and Billing
25.1. Subscription Plans and Policies The Subscription Policies that are disclosed to you in subscribing to the Services are deemed part of these Terms.
25.2. Acceptable Methods of Payments Payment for services can only be made via a credit/debit card (Visa, Mastercard) or PayPal. Wire transfers cannot be used for subscription based products.
25.3. Recurring Billing All subscription plans to the Services consist of an initial period with a one-time charge. By choosing a recurring subscription plan, you agree that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. We may submit periodic charges (e.g., monthly, per 3 months, per half year or year, depending on chosen subscription plan) without further authorization from you, until you provide prior notice (receipt of which is confirmed by us) that you have terminated this authorization or wish to change your payment method. Such notice will not affect charges submitted before we reasonably could act. To terminate your authorization or change your payment method, go to Payment Settings.
25.4. Current Information Required You must provide complete and accurate information for your billing account and update any changes (such as a change in billing address, credit card number, or credit card expiration date) to keep your account current. You must also notify us or our payment processor if your payment method is canceled or if you become aware of a potential breach of security (such as the unauthorized disclosure or use of your user name or password). If you fail to provide any of the foregoing information, you agree that we may continue charging you for any use of the service under your billing account unless you have terminated your subscription for the service as set forth above.
25.5. Change in Amount Authorized If the amount to be charged to your Billing Account varies from then-current amount (other than due to the imposition or change in the amount of state sales taxes), you have the right to receive, and we shall provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction. Any agreement you have with your payment provider will govern your use of your Payment Method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.
25.6. Auto-Renewal Unless you opt out of auto-renewal, which can be done through your Payment Settings, your subscription to the Services will be automatically extended for successive renewal periods of the same duration as the originally selected subscription term. To change or resign your subscription, go to Payment Settings. Your subscription will not be renewed after your then-current term expires. However, you won't be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.
25.7. Termination
25.7.1. By Member You may terminate your membership and/or subscription at any time, for any reason, by following the instructions in your Payment Settings.
25.7.2 By Us We may terminate your membership and/or subscription for any reason or no reason. We are not required, and may be prohibited, from disclosing a reason for the termination of your account.
25.7.3. Subscriptions If you terminate your subscription, your subscription will remain active until the end of your then-current subscription period (that is, the subscription period through which you had paid prior to your termination).
If we terminate your membership because you have breached these Terms, you will not be entitled to any refund of unused subscription fees.
